Terms of use

These terms apply to Nityan's public website and, unless replaced by a signed customer agreement, access to our business finance and operations services.

These terms are a practical launch baseline and are not a substitute for legal advice or a negotiated customer agreement.

1. Acceptance

By accessing this website or using Nityan's services, you agree to these terms. If you use Nityan for a business, you represent that you have authority to bind that business. If you do not agree, do not use the service.

2. The service

Nityan develops tools intended to help businesses organize invoices, bookkeeping, reconciliation, POS and inventory information, and related finance and operations workflows. Features may be added, changed, suspended, or discontinued as the service evolves.

Nityan is not a bank, accounting firm, tax preparer, investment adviser, law firm, payment processor, or financial institution. The service provides workflow support and information; it does not replace professional judgment or advice.

3. Business accounts and authority

You must provide accurate information, protect credentials, and promptly tell us about suspected unauthorized access. You are responsible for users you authorize and for ensuring they have appropriate permission to access business, employee, vendor, financial, POS, and inventory information.

4. Customer data

You retain ownership of information you provide or authorize Nityan to access. You grant Nityan permission to host, process, organize, reproduce, and transmit that information only as reasonably needed to provide, protect, support, and improve the requested services and meet legal obligations.

You represent that you have the rights and permissions needed to provide the information and direct our processing. Our handling of information is further described in the Privacy practices.

5. Financial connections and outputs

Connected-account information may be supplied by third parties such as Plaid and financial institutions. Availability and accuracy can be affected by those providers. You authorize us and our providers to retrieve and refresh information for the purposes shown when you connect an account.

Automated extraction, categorization, matching, and AI-assisted suggestions may be incomplete or incorrect. You are responsible for reviewing outputs before relying on them for accounting, tax, payment, pricing, inventory, compliance, or other business decisions.

6. Acceptable use

You may not use Nityan to:

  • Break the law, infringe rights, or process information without required authority or consent.
  • Gain unauthorized access to systems, accounts, or data.
  • Upload malware, disrupt the service, evade safeguards, or probe for vulnerabilities without written authorization.
  • Resell, copy, reverse engineer, or use the service to build a competing product except where law expressly permits.
  • Misrepresent automated output as professionally reviewed when it has not been reviewed.

7. Nityan materials

Nityan and its licensors retain rights in the service, software, visual design, documentation, trademarks, and other materials, excluding customer data. No rights are granted except the limited right to use the service as intended.

8. Third-party services

The service may interoperate with financial institutions, Plaid, cloud providers, document processors, POS systems, and other third parties. Their terms and privacy practices may apply. Nityan is not responsible for third-party systems outside our control.

9. Suspension and termination

You may stop using the public website at any time and may request service closure by contacting us. We may limit or suspend access when reasonably needed to protect users or systems, address unlawful or prohibited conduct, respond to nonpayment, or comply with law. Data handling after closure is described in our Privacy practices or an applicable customer agreement.

10. Disclaimers

To the extent permitted by law, the website and services are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. We do not promise uninterrupted operation, perfect accuracy, or that every issue will be detected.

To the extent permitted by law, Nityan will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities arising from use of the service. A signed customer agreement may provide different warranty and liability terms.

11. General

If part of these terms is unenforceable, the remainder will continue. Failure to enforce a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a reorganization or business transaction. We may update these terms, with material changes communicated where required.
